Concentration Risk

Concentrated Stock Reduction

If more than 20% of your investable assets are in a single stock — usually your employer — you have a concentration problem. If that stock drops 40%, you lose 40% of your financial security. Most tech employees underestimate this because the position grew gradually over years of vesting.

The obstacle to solving it is tax. Selling outright in California triggers ordinary income rates on recently-vested RSU shares, or the highest long-term capital gains rates in any U.S. state. The six strategies to the left all address concentration risk without requiring an immediate, full taxable sale.

Concentrated Stock Reduction

Deals with the position itself

Your employer's stock is worth $X million and too much of your net worth is in one name. Reduction strategies answer: how do you stop being so exposed — without immediately triggering a large tax bill to do it? The goal is diversification or liquidity. Favorable tax treatment is a feature of how these strategies are structured, not the primary goal.

Tax Offset Strategies

Deals with the tax bill

Your RSUs are vesting and you owe $140,000 in taxes this year. Offset strategies answer: how do you reduce that bill — in the same calendar year — before December 31? They don't touch your concentrated position; they generate deductions or credits to offset income you're already receiving from vesting events, salary, or a required sale.

Most clients with significant equity compensation use both: reduction strategies to address concentration over time, and offset strategies deployed in the year of major vesting events to reduce the immediate tax cost on income that can't be avoided.

The highest-value planning happens in the same calendar year as a large vesting event. Deductions and credits must be matched to income in the year they'll count. A strategy deployed in January is useful. The same strategy discussed in February — after the December 31 deadline — is not.

Each strategy below has real economic substance. These are not paper deductions — they are investments with legitimate returns that also generate favorable tax treatment. We evaluate each based on your income, timeline, and risk tolerance before recommending anything.

Most California tech employees don't have just RSUs. They have a combination of RSUs, ISOs, NSOs, and ESPP — each with different tax mechanics, different optimal holding periods, and different interaction effects when they're all active in the same year.

A decision made on an ISO exercise in March affects the tax efficiency of an RSU sale in December. An ESPP disqualifying disposition creates ordinary income at the same rate as RSU income. Planning all four instruments together — rather than in isolation — routinely produces better outcomes than handling each separately.
